Oye Scribe is a professional tool designed exclusively for licensed healthcare professionals and clinical institutions. By using this service, you represent and warrant that:

• You are a licensed healthcare professional, or an authorized representative acting on behalf of a medical facility, clinic, or healthcare entity.
• You possess the legal authority to bind your organization to these Terms.
• You will use the software strictly in compliance with all federal, state, and local medical practice regulations.

Oye Scribe is strictly engineered as an offline-first application to maximize data minimization and patient privacy.

Local-First Processing:

Audio recording, transcription, and clinical summary generation occur locally on your authorized iOS device. Your patients' private clinical audio never leaves your physical device for transcription or processing. One optional feature — diagnosis-code assistance, which is off unless you enable it — sends de-identified text (never raw audio or PHI) to a third-party model; see our Privacy Policy at https://oye.is/privacy.

Local Encryption:

All data stored within the Oye Scribe application on your device is encrypted locally using enterprise-grade encryption standards (leveraging native iOS hardware encryption).

Zero Cloud PHI Transmission by Default:

ARCA VISION LABS LLC does not transmit, upload, or store Protected Health Information (PHI) or raw patient audio to our cloud servers. Any telemetry, application performance logs, or diagnostic metadata sent to our servers to maintain application health is strictly de-identified.

Clinician-Initiated Manual Actions:

If you choose to manually copy, export, email, or transmit a clinical summary or transcript to an external system (such as your Electronic Health Record (EHR) platform, an external drive, or third-party email), you assume sole legal and operational responsibility for that manual transfer of PHI.

Oye Scribe utilizes local artificial intelligence and machine learning models to synthesize clinical notes. The application does not practice medicine, provide clinical advice, or make medical diagnoses.

The Review Imperative:

Automated summaries are drafts only. You retain absolute, final clinical and legal responsibility for the accuracy, completeness, and validity of all patient data, charts, and medical records generated or assisted by Oye Scribe.

Mandatory Review:

You must manually review, verify, and edit every automated note before saving it to a patient's EHR. ARCA VISION LABS LLC is not liable for clinical errors, diagnostic inaccuracies, omissions, or patient harm resulting from unedited or unreviewed notes.

Because Oye Scribe stores clinical session data and transcripts locally on your iOS hardware to maximize patient privacy, device security is your sole legal and operational obligation.

Physical and Digital Safeguards:

You must configure your device with enterprise-grade protection, including mandatory biometrics (Face ID/Touch ID) and strong alpha-numeric device passcodes.

Hardware Liability Waiver:

ARCA VISION LABS LLC assumes zero liability or responsibility for unauthorized data access, HIPAA breaches, data loss, or privacy violations arising from lost, stolen, unlocked, or compromised iOS hardware. If your device is lost or stolen, it is your responsibility to execute remote data-wipe operations via your Mobile Device Management (MDM) protocols and file any state or federal data breach disclosures required by law.

HIPAA Compliance:

Because Oye Scribe is designed to process data locally without cloud-based PHI storage, the primary security perimeter is your local device. However, to cover any potential support interactions, manual diagnostic exports, or secondary cloud integrations you may configure, a standard Business Associate Agreement (BAA) is available and must be executed prior to clinical use.

Patient Consent:

Depending on your jurisdiction (including states like California and Texas), you may be legally required to obtain verbal or written patient consent before capturing ambient audio during a clinical encounter. You are solely responsible for knowing your regional consent laws and obtaining all necessary authorizations.

Subscription Fees:

Access to certain tiers, features, or local processing volumes requires a paid recurring subscription. Fees are billed in advance and are non-refundable.

Account Credentials:

You are responsible for safeguarding your login credentials. You must notify us immediately at support@oye.is if you discover unauthorized account activity.

Taxes:

All fees are exclusive of applicable state and local taxes, which will be charged where required by law.

License Grant:

Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and install the Oye Scribe application on authorized iOS devices for internal business use.

Restrictions:

You shall not decompile, reverse engineer, disassemble, modify, or attempt to derive the source code of the software, nor use the software to build a competitive product.

No AI Model Training:

Consistent with our Privacy Policy, we do not use your proprietary patient data, local audio, or private text transcripts to train public, foundational artificial intelligence models.

Your use of the Oye Scribe iOS application is also subject to Apple's standard Licensed Application End User License Agreement, as supplemented by our Apple App Store EULA Addendum at https://oye.is/eula.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARCA VISION LABS LLC, ITS DIRECTORS, OR ITS EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF CLINICAL DATA, EHR CORRUPTION, WORK STOPPAGE, OR CLINICAL MALPRACTICE CLAIMS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless ARCA VISION LABS LLC and its officers from and against any third-party claims, liabilities, losses, damages, or regulatory fines (including HIPAA penalties) arising out of:

• Your violation of these Terms.
• Your failure to obtain necessary patient consent for audio recording.
• Your clinical reliance on unedited or unverified clinical notes generated by the application.
• Data breaches resulting from your lost, stolen, or unsecured hardware.

These Terms and any dispute arising out of or related to them shall be governed by, and construed in accordance with, the laws of the State of Texas, without regard to its conflict of law principles.

Any legal action, suit, or proceeding arising out of these Terms shall be instituted exclusively in the state or federal courts located in Austin, Travis County, Texas, and each party irrevocably submits to the personal jurisdiction of such courts.

We reserve the right to suspend or terminate your account and license access at any time, with or without cause, including for suspected non-payment, terms violations, or behavior that risks the security of our platform or other clinical users.
